By accessing or using our Platform, you agree to comply with these Terms. If you do not agree, you may not use our services.

1. Acceptance of Terms

By using Neoface.ai, you acknowledge that you have read, understood, and agreed to these Terms. You may not use our services if you are under the age of 18 or otherwise unable to form a binding contract.

2. Service Description

Neoface.ai provides web-based face anonymization services designed for content creators. Our Platform processes uploaded images to anonymize facial features while maintaining image quality. The service includes:

  • Face detection and anonymization processing
  • Secure image upload and download
  • Web-based user interface for content management

3. Eligibility

Neoface.ai is intended solely for content creators. By using our Platform, you affirm that:

  • You are a content creator using the Platform for personal or professional purposes
  • You will not use the Platform to impersonate, imitate, or mislead others
  • You own or have the necessary rights to all photos and content you upload
  • You are at least 18 years of age

4. User Responsibilities

When using Neoface.ai, you agree that you will:

  • Only upload content that you own or have the right to use
  • Not use photos of other individuals without their explicit consent
  • Not engage in any activity that is illegal, misleading, or violates any rights of others
  • Ensure that any content created using our Platform adheres to applicable laws and ethical guidelines
  • Not use the Platform to create deceptive, harmful, or defamatory content
  • Maintain the security of your account credentials
  • Not attempt to bypass or compromise our Platform's security measures

Failure to comply with these responsibilities may result in immediate termination of your account.

5. Content Ownership and Licensing

You retain ownership of any photos or content you upload. By using Neoface.ai, you grant us:

  • A non-exclusive, worldwide, royalty-free license to process your uploaded content for the purpose of providing our services
  • Permission to create derivative works solely for the purpose of anonymization
  • The right to store and transmit your content as necessary to provide our services

We do not claim ownership over your original content or processed outputs. You maintain full rights to use, distribute, or commercialize your anonymized content.

6. Account Termination

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these Terms, including but not limited to:

  • Uploading content that you do not own or have permission to use
  • Engaging in impersonation or deceptive practices
  • Violating applicable laws or regulations
  • Attempting to circumvent Platform limitations or security measures

Upon termination for violations:

  • Your access to the Platform will be immediately revoked
  • Any pending processing requests will be canceled
  • All your content may be permanently deleted from our systems

7. Indemnification

You agree to indemnify and hold harmless Neoface.ai, its officers, directors, employees, and agents from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including reasonable legal and accounting fees, arising out of or connected with:

  • Your access to or use of the Platform
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content processed through our Platform

8. Limitation of Liability

Neoface.ai provides its services on an "as-is" and "as-available" basis. We do not guarantee uninterrupted access to the Platform or warrant the accuracy or reliability of the generated content. To the maximum extent permitted by law, Neoface.ai shall not be liable for:

  • Any direct, indirect, incidental, or consequential damages
  • Loss of profits, data, or business opportunities
  • Service interruptions or failures
  • Errors in face detection or anonymization
  • Third-party misuse of anonymized content

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles. You and Neoface.ai agree to submit to the personal and exclusive jurisdiction of the state courts and federal courts located within San Francisco County, California for the purpose of litigating any disputes.

Before pursuing formal legal action, you agree to first try to resolve any disputes informally by contacting us at support@neoface.ai. If a dispute cannot be resolved informally within 30 days, either party may pursue legal remedies in accordance with these Terms.

ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES MUST BE FILED WITHIN ONE YEAR AFTER SUCH CLAIM AROSE; OTHERWISE, THE CLAIM IS PERMANENTLY BARRED.

10. Changes to Terms

We reserve the right to update or modify these Terms at any time. We will notify users of any significant changes by:

  • Posting an updated version on our website
  • Sending an email to registered users
  • Displaying a notice when you next log in

Your continued use of the Platform after such modifications constitutes acceptance of the updated Terms.
